SUMMARY OF BOND ORDINANCE
AN ORDINANCE OF CITY OF MIDWAY, KENTUCKY, AUTHORIZING THE ISSUANCE OF
TWO SERIES OF INDUSTRIAL REVENUE BONDS HAVING A COMBINED AGGREGATE
PRINCIPAL AMOUNT OF UP TO $35,000,000 AND DESIGNATED THE CITY OF MIDWAY,
KENTUCKY, INDUSTRIAL BUILDING REVENUE BONDS, SERIES 2019 (LAKESHORE
WAREHOUSE EAST PROJECT) AND CITY OF MIDWAY, KENTUCKY, INDUSTRIAL
BUILDING REVENUE BONDS, SERIES 2019 (LAKESHORE EQUIPMENT COMPANY
PROJECT), FOR THE PURPOSE OF FINANCING AN INDUSTRIAL BUILDING PROJECT;
APPROVING AND AUTHORIZING THE EXECUTION AND DELIVERY OF (A) A LEASE
AGREEMENT BETWEEN THE CITY, AS LESSOR, AND LAKESHORE WAREHOUSE EAST,
LLC, AS LESSEE, (B) A LEASE AGREEMENT BETWEEN THE CITY, AS LESSOR, AND

AGREEMENTS PROVIDING FOR THE ISSUANCE, SALE, AND DELIVERY OF EACH SERIES
OF THE BONDS, AND (D) RELATED DOCUMENTS; AND TAKING OTHER RELATED ACTIONS
Pursuant to KRS 66.101, notice is hereby given that an Ordinance (the
“Bond Ordinance”) of the City of Midway, Kentucky (the “City”), the
title of which is set out above, was given second reading and adopted by
the City Council of the City at a meeting held in City Hall in Midway,
Kentucky, on December 2, 2019, at 5:30 p.m. (local time).
A summary of the Bond Ordinance, which includes the above title, follows:
(a) The Ordinance authorizes the sale and issuance by the City of its
Industrial Building Revenue Bonds, Series 2019 (Lakeshore Warehouse East
Project) (the “LWE Bonds”) and its Industrial Building Revenue Bonds,
Series 2019 (Lakeshore Equipment Company Project) (the “LEC Bonds” and,
together with the LWE Bonds, the “Series 2019 Bonds”) in an combined
aggregate principal amount of up to $35,000,000, for the purpose of
financing (i) the costs of new industrial building facilities to be
utilized in the assembly and distribution of educational products and
supplies, including all related storage, warehousing, and operating
equipment and machinery deemed necessary in connection therewith, all
located on approximately thirty-five (35) acres of land near the
intersection of Georgetown Road and McKinley Avenue in Midway, Woodford
County, Kentucky; and (ii) the costs of issuance of the Series 2019
Bonds. The financing will be carried out pursuant to (i) a Lease
Agreement (the “LWE Lease Agreement”) between the City, as lessor, and
Lakeshore Warehouse East, LLC (“LWE”), as lessee, and a Bond Purchase
Agreement (the “LWE Bond Purchase Agreement”) between the City, LWE, and
     Kentucky DC, LLC, as purchaser and as servicing agent thereunder;
and (ii) a Lease Agreement (the “LEC Lease Agreement” and, together with
the LWE Lease Agreement, the “Lease Agreements”) between the City, as
lessor, and Lakeshore Equipment Company d/b/a Lakeshore Learning
Materials (“LEC” and, together with LWE, the “Companies”), as lessee,
and a Bond Purchase Agreement (the “LEC Bond Purchase Agreement” and,
together with the LWE Bond Purchase Agreement, the “Bond Purchase
Agreements”) between the City, LEC, and DC2, LLC, as purchaser and as
servicing agent thereunder.
(b) The Ordinance authorizes and approves the execution of (1) the Lease
Agreements, pursuant to which rental payments will be received from the
Companies to pay the Series 2019 Bonds as authorized by KRS 103.200
through 103.285, as amended (the “Act”), (2) the Bond Purchase
Agreements, which sets for the terms and conditions upon which each
series of the Series 2019 Bonds are to be secured, issued, and
outstanding and provides for the sale of each series of the Series 2019
Bonds, and (3) related documents.
(c) The Ordinance provides that pursuant to the Act each series of the
Series 2019 Bonds will constitute a special and limited obligation of
the City payable solely from receipts derived under the respective Lease
Agreement and the security created under the respective Bond Purchase
Agreement.
(d) The Ordinance authorizes the Mayor and other City officials to take
any other necessary actions and to execute on behalf of the City any
necessary or appropriate documents in order to affect the issuance and
delivery of the Series 2019 Bonds and to carry out the purposes and
terms of the above-described documents.
The foregoing provisions are intended to be a Summary of the Ordinance,
and reference is hereby made to the full text of the Ordinance for a
full and complete statement of its contents. The full text of this
Ordinance is available for public inspection during normal business
hours in the office of the City Clerk, Midway City Hall, Midway, Kentucky.
